Terms of Service

1. Acceptance of Terms

By accessing or using the Exit Insights service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Exit Insights, Inc. ("Company," "we," "us," or "our").

We reserve the right to update or modify these Terms at any time. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

2. Description of Service

Exit Insights is an AI-powered employee offboarding knowledge extraction platform. The Service enables organizations to capture, analyze, and package institutional knowledge from departing employees into comprehensive transfer documents. Features include multi-source data extraction, AI-powered analysis, PII detection, and generation of knowledge transfer packages containing up to 11 professional documents.

The Service is provided "as is" and "as available." We may modify, suspend, or discontinue any aspect of the Service at any time, including the availability of any feature, with or without notice.

3. User Accounts

To access certain features of the Service, you must register for an account. When registering, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials, including your password and any API keys. You agree not to disclose your credentials to any third party and to notify us immediately of any unauthorized use of your account. You are responsible for all activities that occur under your account.

4. Client Responsibilities

You are responsible for:

  • Obtaining all necessary authorization and consent to export and share employee digital artifacts with us, including compliance with applicable employment laws and company policies.
  • Ensuring that you have the legal right to access and share the data you provide to us.
  • Providing accurate employee information and complete artifact exports following our data gathering guide.
  • Reviewing the generated package for accuracy before distributing internally.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable law.
  • Reverse engineer, decompile, or otherwise attempt to discover the source code or underlying algorithms of the Service.
  • Use the Service to store or transmit malicious code, viruses, or any other harmful content.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Attempt to gain unauthorized access to the Service, other accounts, or connected systems.
  • Upload data for which you do not have the legal right to process or share.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

You retain ownership of all data you upload to the Service. By uploading data, you grant us a limited, non-exclusive license to process, analyze, and store that data solely for the purpose of providing the Service to you. We do not use your data to train AI models or for any purpose other than delivering your knowledge transfer package.

7. Confidentiality

We treat all client data as confidential. Documents marked "Confidential" in the output package (Security Review, Integrity Report, Access Revocation) contain particularly sensitive information and should be distributed only to authorized personnel within your organization.

8. Intellectual Property

The Service and its original content (excluding data provided by users), features, and functionality are and will remain the exclusive property of Exit Insights, Inc. and its licensors. The Service is protected by copyright, trademark, and other laws.

All generated reports and analysis outputs based on your data are owned by you. You may use, distribute, and modify the deliverables within your organization as you see fit. We retain ownership of our proprietary analysis methods, templates, and tooling.

9. Payment Terms

Certain features of the Service require a paid subscription or per-report payment. All payments are processed through Stripe, our third-party payment processor. By providing payment information, you agree to Stripe's terms of service.

Subscription fees are billed in advance on a monthly basis and are non-refundable except as required by law. Per-report fees are charged at the time of report generation. All fees are exclusive of taxes, which you are responsible for paying.

We reserve the right to change our pricing at any time. If you are on a subscription plan, price changes will take effect at the start of your next billing cycle with reasonable prior notice.

10. Limitations & Disclaimers

  • Our analysis is based solely on the digital artifacts you provide. We cannot identify knowledge that exists only in the departing employee's memory and is not reflected in any artifact.
  • The Integrity Report contains automated pattern detections, not conclusions of wrongdoing. Findings should be reviewed in context by qualified personnel.
  • The Security Review identifies potential sensitive data in artifacts but is not a substitute for a comprehensive security audit.
  • We do not provide legal advice. Consult your legal counsel regarding employment law, data privacy, and access revocation requirements specific to your jurisdiction.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EXIT INSIGHTS, INC., ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. You may request an export of your data within thirty (30) days of account termination. After this period, we may delete your data in accordance with our data retention policies.

All provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect.

By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
